1. The service
These terms of service apply to your access to and use of Rytmia, including our website, applications and related services. Rytmia is provided by Endura Systems AB, company registration number 559213-9462 (“Endura Systems”, “we”, “us” or “our”).
By creating an account, accepting an invitation or using Rytmia, you agree to these terms. If you use the service on behalf of an organization, you confirm that you are authorized to accept these terms for that organization.
Rytmia is a SaaS service for managing quotes, clients, service sites, one-off and recurring assignments, scheduling, staffing, work on site, checklists, deviations, review and invoice drafts.
We may improve, change or discontinue parts of the service over time. We will not materially reduce the core functionality of a paid service during an active subscription period without reasonable notice.
2. Accounts and access
You must provide accurate account details and protect your BankID and the devices you use for access. You must not let anyone else log in or sign as you. You are responsible for activity that takes place through your account, unless the activity was caused by our failure to protect the service.
You must notify us without undue delay if you suspect unauthorized access to your account or your organization. The organization's administrators are responsible for assigning and removing users' permissions.
3. Customer data
You retain ownership of the data, files, texts, images, records and other content that you or your users submit to Rytmia (“Customer Data”). You grant us the rights required to store, process, transmit, display, back up and protect Customer Data for the purpose of providing the service.
You are responsible for ensuring that Customer Data is lawful, accurate and suitable for use in the service. You must not upload content that is unlawful, infringes third-party rights, contains malicious code or is intended to harm the service or other users.
4. Permitted use
You must not misuse Rytmia. This includes attempts at unauthorized access, disruption of the service, reverse engineering beyond what mandatory law permits, distribution of spam or malicious code, and any other use that breaches applicable law.
We may suspend access if we reasonably judge that the use creates a security risk, breaches these terms, or could expose us, you, another customer or a third party to liability. Where reasonable, we will notify you before access is suspended.
5. Subscriptions, fees and payment
Paid plans, billing periods, prices and payment terms are set out on the subscription page, in an order form or in another written agreement between you and us.
Fees are stated excluding VAT and other taxes unless otherwise specified. You are responsible for applicable taxes, except taxes based on our income.
If a payment is overdue, we may suspend or limit access after reasonable notice, unless the overdue amount is disputed in good faith.
6. Trials and beta features
We may offer free trials, pilot features, beta features or other early access. Such features may be changed, limited or discontinued at any time, and may be provided without the same availability or support commitments as paid production features.
7. Confidentiality
Each party may receive confidential information from the other party. Confidential information must be protected with reasonable care and used only to provide or use Rytmia.
The confidentiality undertaking does not apply to information that is public, already known, independently developed or lawfully received from another source.
8. Privacy and data protection
Our Privacy policy describes how we process personal data. Where we process personal data on behalf of your organization as a processor, our data processing terms or a separate data processing agreement apply.
You are responsible for ensuring that your organization has a legal basis for sending personal data to Rytmia, and for providing the necessary information to users, employees, clients or other data subjects.
9. Intellectual property
We and our licensors retain all rights to Rytmia, including software, design, text, trademarks and documentation. These terms transfer no ownership rights to you.
You may use Rytmia only in accordance with these terms and your subscription. You must not copy, modify, distribute, sell, rent out or give access to Rytmia unless we expressly permit it.
10. Third-party services
Rytmia may integrate with or link to third-party services such as mapping, communication and accounting services. We are not responsible for third-party services' content, availability, terms or privacy practices unless this is expressly stated in a written agreement with you.
11. Availability and support
We aim to keep Rytmia available and secure, but do not guarantee uninterrupted or error-free operation unless a separate service level agreement applies.
We may carry out maintenance, updates and security work that temporarily affects availability. Where practically possible, we schedule such work to reduce disruption.
12. Compliance and professional responsibility
Rytmia helps organize service work and the associated documentation, but does not replace your organization's legal, health and safety, employment, accounting or operational responsibilities.
You remain responsible for decisions, approvals, staffing, instructions, compliance and the accuracy of the records and invoice drafts created or handled in the service.
13. Warranties
We provide Rytmia with reasonable skill and care. Except as expressly stated in these terms or required by mandatory law, the service is provided without warranties of any kind.
14. Limitation of liability
To the extent permitted by law, neither party is liable for indirect damage, lost profit, lost revenue, lost goodwill or loss of data, except in cases of intent or where liability may not be limited by law.
Our aggregate liability for claims relating to the service is limited to the fees you have paid or owe for the service during the twelve months preceding the event giving rise to the claim, unless mandatory law requires otherwise.
15. Term and termination
These terms apply for as long as you use Rytmia. Either party may terminate a subscription in accordance with the applicable order form, subscription terms or other written agreement.
Within the service, the subscription ends when an administrator deletes the organization. There is no separate cancellation of the subscription and no notice period. The administrator confirms the deletion by signing with BankID, and it takes effect immediately for every user in the organization. It is possible even if the subscription has already ended.
Fees are invoiced monthly in arrears without proration. The calendar month in which the organization is deleted is the last one invoiced, for the seats the organization holds at deletion and to the organization's own billing details. Nothing is invoiced after that.
An individual user may leave an organization or delete their account in the service at any time. That does not end the organization's subscription. Section 9 of the privacy policy describes what each of these actions means, and Delete your Rytmia account sets out the steps for your own account.
We may terminate or suspend access if you materially breach these terms and do not remedy the breach within a reasonable time after notice. We may act immediately if continued access would create a serious security, legal or operational risk.
16. Export and deletion of data
During the subscription period you may use the export functions available in the service from time to time. You may also contact us if you need help accessing Customer Data.
Export what you need before the organization is deleted. Once the organization has been deleted, Customer Data is no longer accessible to anyone, and a deleted organization cannot be restored by the customer.
Customer Data then remains, inaccessible, until the last day of the month following the month in which the deletion took place, counted in Swedish time, and is then permanently removed. Removal never happens before the final invoice has been issued.
We may retain certain data for longer where law requires it, for example invoice records under the archiving requirements of the Swedish Accounting Act, and for a limited time in backups, logs and security records. After a termination that does not take place through deletion in the service, we may retain Customer Data for a limited period to enable export, comply with law, resolve disputes, prevent abuse and manage backups.
17. Changes to these terms
We may update these terms from time to time. If the changes are material, we will give reasonable notice, for example by email, a message in the service or publication on our website. Continued use after the effective date means you accept the updated terms.
18. Governing law and disputes
These terms are governed by Swedish law, unless mandatory consumer law or local law requires otherwise. Disputes shall be handled by a competent court in Sweden, unless another court is required by mandatory law or has been agreed in writing.
19. Language
These terms may exist in Swedish and English. In the event of a conflict between the language versions, the Swedish version prevails, unless mandatory law requires otherwise.
20. Contact
If you have questions about these terms, you can contact Endura Systems AB through our contact page.
